Nagpur-based Solar Industries India has signed a final agreement to acquire 100 percent of South African chemical group Omnia Holdings. The deal will be entirely in cash and is valued at about Rs 12,951 crore, or 1.355 billion dollars.

It is being described as the biggest international deal in the company's history. It will strengthen Solar Industries' global business in commercial explosives, blasting solutions and specialised chemicals for the mining and quarrying industry.

Under the deal, Solar Industries will pay 134.5 ZAR for each Omnia share, about 35 percent above Omnia's 30-day volume-weighted average share price.

The deal's key focus is Omnia's mining business BME, which specialises in advanced blasting systems and chemicals used in the mining and quarrying sector. The acquisition will give Solar Industries access to an international distribution and logistics network of more than 70 distribution centres spread across 23 countries.

The deal represents a major capital commitment for Solar Industries, but Omnia's current financial position and cash-generating operations are cited as the main reason behind it. Omnia recorded revenue of about 1.41 billion dollars in the financial year ended March 31, 2026. Solar Industries is expected to get a strong platform for global growth from the company's established international operations and distribution network.

The deal will depend on regulatory, statutory and competition approvals in several countries. Investors will be watching these approvals, since they will determine the timeline for completing the deal. Integrating operations spread across 23 countries will not be easy either. Solar Industries will have to merge Omnia's workforce, technology, operations and distribution infrastructure while managing differences across international markets. Foreign exchange fluctuations will also be a factor, since Solar Industries' exposure to multiple currencies will increase.

The company expects the deal to be completed between early and mid-2027, provided the necessary approvals and other conditions are met. Once completed, Omnia will be delisted from the Johannesburg Stock Exchange and A2X Markets.

The next major updates for investors will be regulatory approvals and exchange filings, followed by Solar Industries' plans to integrate Omnia's operations and more than 3,500 employees into its global business. If completed, the deal would mark a major step for the Nagpur-based explosives maker toward becoming a big international player in the commercial explosives and mining solutions industry.
